The difference between the 2 types is that depending on the version of Office you buy the CD one may give you the right to install it and have it running on up to 3 machines at once and in the future you will be allowed to transfer this license to your next Both have exactly the same features in the applications. One comes with the installation CD, the other is just the Product key alone. You will have to buy a license, called a "Product Key" to make it work.
